Terms and Condition

Article 1 - Definitions

These General Terms and Conditions of Sale (hereinafter referred to as the "T&Cs") are provided by Vibe HRS, a company registered under number 789007416NP0001 with its head office located at 871 Route 415, Warwick Settlement, NB, E9E1Y7, Canada (hereinafter "Vibe HRS").

Definitions:

  • "Site": Refers to the website "https://VibeHRS.com" and all associated pages, which are the exclusive property of Vibe HRS.
  • "Products" or "Services": Includes all products and services available for purchase or subscription on the Site.
  • "Vendor": Refers to Vibe HRS, the entity offering Products or Services on the Site.
  • "Customer": Refers to the Internet user, whether an individual or professional, who purchases Products or Services on the Site.

The Internet user visiting the Site and interested in the Products and Services is encouraged to read these T&Cs carefully, print them out, and/or download them from the Vendor's website. By purchasing Products or Services, the Customer acknowledges and agrees to these T&Cs.

Article 2 - Application of the T&Cs and Purpose of the Site

The Vendor reserves the right to modify these T&Cs at any time by publishing a new version on the Site. The T&Cs applicable to the Customer are those in effect on the day of their order.

The Site provides online sales of household products and accessories. The purchase of any Product or Service implies the Customer's acceptance of these T&Cs. This acceptance is confirmed when the Customer checks the box indicating they have read and accepted the T&Cs, which has the same effect as a handwritten signature.

Acceptance of these T&Cs assumes that Customers have the necessary legal capacity to do so. If a Customer is a minor or lacks legal capacity, they must have authorization from a guardian or legal representative.

The Customer acknowledges the evidential value of the Vendor's automatic recording systems, and waives any right to contest these records in case of a dispute.

Article 3 - Customer Service

Article 4 - How to Place an Order and Description of the Purchasing Process

Products and Services are listed in the Site's catalog. Each product description is based on information provided by the supplier. The Site's photos are non-contractual and may differ from the actual Products due to various factors.

To place an order, the Customer:

  1. Selects Products and adds them to their "Shopping Cart."
  2. Reviews the contents of the Shopping Cart and corrects any errors.
  3. Enters contact details and opts for email follow-up if desired.
  4. Chooses a shipping method.
  5. Provides payment details and billing address.
  6. Confirms the Order by clicking "Finalize my order" and accepts the T&Cs.

The sale is considered valid when the Customer confirms the Order and completes the payment. The date of validation corresponds to the receipt of payment.

Article 5 - Prices and Terms of Payment

Unless otherwise stated, the prices shown in the catalog are in local currencies, including all applicable taxes (TTC), taking into account the VAT rate applicable on the day of the order and excluding any contribution to processing and shipping costs.

Vibe HRS reserves the right to pass on any change in the VAT rate to the price of the Products or Services. The Vendor also reserves the right to modify its prices at any time. Nevertheless, the price appearing in the catalog on the day of the order will be the only one applicable to the Customer.

The Customer may place an order on this Site and may pay by credit card, Bancontact, Apple Pay, or PayPal. Credit card payments are processed via secure transactions provided by an online payment platform provider.

This Site does not have access to any data relating to the Customer's means of payment. Payment is made directly to the bank or payment service provider receiving the Customer's payment. In the event of payment by bank transfer, the delivery times defined in the article "Deliveries" of these T&Cs only begin to run from the date of effective receipt of payment by the Vendor, the latter being able to prove this by any means. The availability of Products is indicated on the Site, in the description of each Product.

Vibe HRS will archive order forms and invoices on a reliable and durable medium constituting a faithful copy. Computerized registers will be considered by the parties as proof of communications, orders, payments, and transactions between the parties.

Article 6 - Delivery

Delivery charges will be shown before payment. Orders can be shipped globally. Delivery times are indicative and may vary due to circumstances beyond the Vendor’s control.

For international orders, the Customer is responsible for any import duties and taxes. Delivery will be made within thirty (30) days from the contract conclusion unless stated otherwise.

Customers can refuse a damaged or incorrect parcel at the time of delivery. For issues with delivery, Customers should contact Vibe HRS immediately. If a parcel is returned due to customer error, re-shipping costs are the Customer’s responsibility.

Article 7 - Right of Withdrawal and Withdrawal Form

Customers have fourteen (14) working days from receipt of a product to retract from the purchase. Products must be returned in perfect condition, unused, and in their original packaging. The Customer will bear the cost of returning the Product.

Refunds will be processed using the original payment method, unless otherwise agreed. The Vendor reserves the right to delay refunds until the Product is returned or proof of return is provided.

Article 8 - Product Warranty

The legal warranty of conformity applies, and the Consumer may invoke this warranty within two years of discovering a defect. The Vendor is required to offer repair or replacement of non-conforming goods. The warranty against hidden defects is also provided, allowing for returns or refunds if necessary.

Article 9 - Liability

Vibe HRS is not liable for non-performance due to force majeure. The Vendor is not responsible for indirect damages, including loss of profits or data. The Customer assumes all responsibility for using the Site and Products. The Vendor is not liable for any discrepancies between Product visuals and actual Products.

Article 10 - Force Majeure

Events of force majeure will suspend the performance of the Order. If the situation persists for ninety (90) days, either party may cancel the Order without claiming damages.

Article 11 - Intellectual Property Rights

All content on the Site is protected by intellectual property laws. Unauthorized reproduction or use of Site content is prohibited. Any link or use of Site content requires prior written consent from Vibe HRS.

Article 12 - Processing of Personal Data

Customer data is collected for processing Orders and improving services. Data is processed securely and retained only for necessary durations. Customers have rights to access, modify, rectify, and delete their data under applicable data protection laws. Requests can be sent to contact@vibehrs.com.

Article 13 - Comments and Other Suggestions from Users

Customers grant Vibe HRS the right to use any comments or suggestions provided without restriction. The Company is not obligated to maintain confidentiality or offer compensation. Comments must not violate third-party rights or contain malicious software.

Article 14 - Independence of Clauses

If any provision of these T&Cs is deemed illegal or unenforceable, it will not affect the validity of the remaining provisions. These T&Cs supersede all prior agreements and cannot be transferred or sublicensed by the Customer.

Article 15 - Applicable Law and Mediation

These T&Cs are governed by Canadian law. The Vendor reserves the right to pursue legal action against fraudulent activities. Disputes will be resolved in accordance with Canadian law, and mediation may be sought before pursuing further legal action.

Indemnity

The Customer agrees to defend, indemnify, and hold harmless Vibe HRS and its affiliates from any claims, damages, or liabilities arising out of the Customer's use of the Site or violation of these T&Cs.
